Ripples across Silicon Valley &#8212; Free Upgrades Gone?"},"content":{"rendered":"<p>Five years since becoming law,\u00a0high-tech Silicon Valley companies are now finding themselves running amuck with <a title=\"Sarbanes-Oxley\" href=\"http:\/\/en.wikipedia.org\/wiki\/Sarbanes-Oxley_Act\" target=\"_blank\">Sarbanes-Oxley<\/a> Compliance regulations.<\/p>\n<p>Small companies have argued that Sarbanes-Oxley hits them disproportionately hard on their financial bottom lines.\u00a0 On Tuesday the Washington Post <a title=\"BioTech companies hit by Sarbanes-Oxley\" href=\"http:\/\/www.washingtonpost.com\/wp-dyn\/content\/article\/2007\/01\/15\/AR2007011500940.html\" target=\"_blank\">gives<\/a> the example of no-revenue biotech companies being made to comply with the same accounting procedures of multibillion-dollar competitors, diverting money to accountants and lawyers that could better be\u00a0spent in research and development.<\/p>\n<p>Treasury Secretary Paulson headed a committee that made recommendations in late 2006 that attempted to reduce some of the high costs of implementing Sarbanes-Oxley, especially for smaller companies.\u00a0 On the one hand, Paulson was <a title=\"Council of Institutional Investors\" href=\"http:\/\/www.prnewswire.com\/cgi-bin\/stories.pl?ACCT=104&#038;STORY=\/www\/story\/11-30-2006\/0004482931&#038;EDATE=\" target=\"_blank\">criticized<\/a> by the corporate governance group, the <a title=\"Council of Institutional Investors\" href=\"http:\/\/www.cii.org\/\" target=\"_blank\">Council of Intstitutional Investors<\/a>, for undermining the effectiveness of the original intent of the legislation.<\/p>\n<p>But the <a title=\"National Venture Capital Association\" href=\"http:\/\/www.nvca.org\/\" target=\"_blank\">National Venture Capital Association<\/a>, coming from\u00a0the perspective of many small Silicon Valley startups, <a title=\"Criticism of Sarbanes-Oxley by National Venture Capital Association\" href=\"http:\/\/www.prnewswire.com\/cgi-bin\/stories.pl?ACCT=104&#038;STORY=\/www\/story\/11-30-2006\/0004483023&#038;EDATE=\" target=\"_blank\">criticized<\/a>\u00a0Paulson for not going even further to help out small companies that have been affected by\u00a0the compliance regulations.\u00a0 The group called it a &#8220;step backwards based on work and recommendations that have already been put forth.&#8221;<\/p>\n<table>\n<tr>\n<td><img decoding=\"async\" src=\"http:\/\/graphics8.nytimes.com\/images\/blogs\/dealbook\/jimclark75x75.jpg\" \/><\/td>\n<td><font size=\"-1\">Venture Capitalist and entrepreneur Jim Clark <a title=\"Jim Clark steps down\" href=\"http:\/\/dealbook.blogs.nytimes.com\/2007\/01\/09\/shutterfly-loses-chairman-who-blames-sarbanes-oxley\/\" target=\"_blank\">stepped down<\/a> as chairman of the online photo service Shutterfly earlier this month because he said that Sarbanes-Oxley had &#8220;gone too far&#8221;.\u00a0 Clark said that because of Sarbanes-Oxley that he could not &#8220;Chair any committee due to the size of my holdings, because of the loan I once made to the company, not be on the governance committee, and it even dictates that some other board member must carry out the perfunctory duties of Chairman.\u00a0 What&#8217;s left is liability and constraints on stock transactions, neither of which excite me.&#8221;<\/font><\/td>\n<\/tr>\n<\/table>\n<p>Cnet <a title=\"CNet report on Sarbanes in Silicon Valley\" href=\"http:\/\/news.com.com\/2100-1014_3-6151059.html?part=rss&#038;tag=2547-1_3-0-5&#038;subj=news\" target=\"_blank\">reports<\/a> that more high-profile resignations from startups like those in Silicon Valley are likely to follow.\u00a0 They also suggest that many startups will seek to stay private to stay clear of compliance requirements.\u00a0 Another alternative is for those companies to go public on foreign exchanges, and many new company listings have shifted to the UK.<\/p>\n<p>An interesting statistic is that while new listings in the UK are soaring, so is fraud.\u00a0 The British accounting firm BDO Stoy Hayward <a title=\"Business fraud jumps in the UK\" href=\"http:\/\/www.nypost.com\/seven\/01082007\/business\/brits_get_bit_business_paul_tharp.htm\" target=\"_blank\">found<\/a> that the reported instances of business fraud in the UK jumped\u00a0 30 percent\u00a0last year and that the value of the fraud reported jumped 40 percent.<\/p>\n<p>Consider also the ongoing scandal of backdating of stock options.\u00a0 The ability to do this has been diminished with the introduction of Sarbanes-Oxley.\u00a0 Options now need to be reported to the SEC within two business days of award.\u00a0 The whole backdating scandal <a title=\"Options Backdating -- Why now?\" href=\"http:\/\/money.cnn.com\/2006\/05\/26\/magazines\/fortune\/colvin_fortune_0612\/\" target=\"_blank\">would never have come to light<\/a> had it not been for stricter SEC rules on executive pay disclosure and the work of academics\u00a0who analyzed the\u00a0public data and uncovered strong correlations between option grants and stock price.<\/p>\n<p>Now with Apple and Steve Jobs in the middle of the scandal, it is somewhat ironic they are invoking Sarbanes-Oxley as the <a title=\"Apple invokes Sarbanes-Oxley\" href=\"http:\/\/news.com.com\/Apple+wants+two+bucks+for+faster+Wi-Fi\/2100-1044_3-6151281.html\" target=\"_blank\">reason<\/a> for why they plan to charge for a software update.\u00a0 Apple will charge $1.99 for users of Core 2 Duo Intel Macs to use 802.11n WiFi hardware.\u00a0 Apple says &#8220;The nominal distribution fee for the 802.11n software is required in order for Apple to comply with generally accepted accounting principles for revenue recognition, which generally require that we charge for significant feature enhancements, such as 802.11n when added to previously purchased products&#8221;.<\/p>\n<p>If Apple&#8217;s interpretation of Sarbanes-Oxley holds then many or all software updates, whether they are service packs or bug fixes, may need to be for a fee to be legal.\u00a0 Are there any implications for Open Source software here?\u00a0 Probably not, but it&#8217;s likely that this\u00a0will get a lot of public companies looking more closely at the language of their end-user license agreements (EULAs).<\/p>\n<div class=\"lightsocial_container\"><div class=\"lightsocial_element\"><a class=\"lightsocial_a\"
